Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Memry ("Service," "we," "our," or "us"), a memory preservation application. By accessing or using Memry, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service.

Eligibility

You must be at least 13 years old to use Memry. By using the Service, you represent and warrant that:

• You are at least 13 years of age
• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable laws
• All information you provide is accurate and current

Account Registration

To use Memry, you must create an account using Google OAuth. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Not share your account with others
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

Subscription and Payment

Free Trial

New users receive a 30-day free trial. After the trial period, continued use requires a paid subscription.

Subscription Plans

We offer monthly and annual subscription plans. Pricing is displayed at the time of purchase and may change with notice.

Payment Processing

Payments are processed securely through Stripe. You agree to:

• Provide valid payment information
• Authorize automatic recurring charges
• Pay all applicable fees and taxes
• Keep your payment information up to date

Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except as required by law.

User Content

Your Rights

You retain all ownership rights to the memories, photos, videos, and other content you upload to Memry ("User Content"). You grant us a limited license to store, process, and display your User Content solely to provide the Service.

Your Responsibilities

You are solely responsible for your User Content. You agree not to upload content that:

• Violates any law or regulation
• Infringes on others' intellectual property rights
• Contains malware, viruses, or harmful code
• Is defamatory, obscene, or offensive
• Harasses, threatens, or harms others
• Promotes illegal activities
• Violates anyone's privacy or publicity rights

Content Moderation

We reserve the right to review, remove, or refuse to display any User Content that violates these Terms or is otherwise objectionable, without notice or liability.

Prohibited Uses

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use automated tools to access the Service (bots, scrapers)
• Reverse engineer or attempt to extract source code
• Remove or modify any proprietary notices
• Impersonate others or provide false information
• Collect or harvest user information
• Use the Service to transmit spam or unsolicited messages

Intellectual Property

The Service, including its design, features, code, and branding, is owned by Memry and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without explicit written permission.

Third-Party Services

Memry integrates with third-party services including:

• Google OAuth for authentication
• OpenAI for audio transcription and AI features
• Stripe for payment processing
• Cloudflare for hosting and storage

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

Data Security and Backups

While we implement security measures to protect your data, we cannot guarantee absolute security. You are responsible for:

• Maintaining backups of important content
• Safeguarding your account credentials
• Using the Service at your own risk

We are not liable for data loss, corruption, or unauthorized access to your account.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of uninterrupted or error-free service
• Warranties regarding the accuracy or reliability of content
• Warranties of data security or privacy

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMRY SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from unauthorized access to your account
• Damages resulting from third-party services or content
• Damages exceeding the amount you paid us in the past 12 months

Indemnification

You agree to indemnify and hold harmless Memry and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Abusive behavior toward other users or staff
• Any reason we deem necessary to protect the Service or other users

Upon termination, your right to use the Service ceases immediately. We may delete your account and User Content, though we will make reasonable efforts to allow you to export your data if possible.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or prominent notice within the Service. Continued use after changes constitutes acceptance of the modified Terms.

Modifications to Service

We may modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Memry operates, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through:

• Good faith negotiations between the parties
• Binding arbitration if negotiations fail
• Courts of competent jurisdiction as a last resort

You waive the right to participate in class actions or class arbitrations.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Memry regarding the Service and supersede all prior agreements and understandings.
